The details that matter

Terms of service

The terms that apply when you use Moments&Co.

Open a section to read it, or expand all for the complete Terms.

1. About these Terms

These Terms of Service (“Terms”) govern access to and use of the Moments&Co. website, applications, Celebration pages, hosting tools, guest-facing features and related services (together, the “Service”).

Please read these Terms carefully before using the Service.

By creating an account, purchasing a plan, creating or publishing a Celebration, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, you must not use the Service.

References in these Terms to “Moments&Co.”, “we”, “us” or “our” mean ‘Moments&Co.’ business.

2. Definitions

For these Terms:

“Account” means a registered Moments&Co. host account.

“Celebration” means an individual celebration, occasion or event created using the Service.

“Host” means the Account holder who creates or manages a Celebration.

“Guest” means any person who accesses a Celebration as a visitor, whether or not they have a Moments&Co. Account.

“Content” includes text, names, photographs, videos, audio recordings, Guestbook messages, invitation content, Celebration information, files and other material submitted to the Service.

“Host Content” means Content submitted or controlled by a Host.

“Guest Content” means Content submitted by a Guest, including photographs, videos, written Guestbook messages and audio Guestbook recordings.

“Plan” means the Free, Essential, Signature or Keepsake package assigned to a particular Celebration.

3. Who may use the Service

You must be at least 18 years old to create an Account or purchase a paid Plan.

By creating an Account, you confirm that:

  • you are legally capable of entering into a contract;
  • the information you provide is accurate;
  • you will keep your Account information reasonably up to date; and
  • you are responsible for activity carried out through your Account.

Guests may access Celebration pages without creating an Account.

If you use Moments&Co. on behalf of a business or organisation, you confirm that you have authority to bind that business or organisation.

4. Accounts and account security

You are responsible for maintaining the confidentiality of your Account credentials.

You must not:

  • share credentials in a way that compromises Account security;
  • allow unauthorised persons to use your Account;
  • attempt to access another person's Account;
  • bypass authentication or security controls; or
  • impersonate another person or organisation.

You must notify us promptly at support@momentsandco.events if you believe your Account has been compromised.

We may require you to verify your identity or ownership of an Account before providing access, making material Account changes or responding to security-related requests.

We are not responsible for losses caused by your failure to take reasonable steps to protect your Account credentials, except where the law provides otherwise.

5. Celebrations

An Account may create more than one Celebration.

Each Celebration is a separate product instance and has its own Plan.

Purchasing or upgrading a Plan for one Celebration does not upgrade any other Celebration owned by the same Account.

Every newly created Celebration starts on the Free Plan unless otherwise expressly stated.

Hosts are responsible for:

  • information they publish;
  • the accuracy of Celebration details;
  • deciding which people receive Celebration links or QR codes;
  • managing their Guests;
  • configuring RSVP and privacy settings;
  • moderating submitted Content where moderation tools are provided; and
  • complying with laws applicable to their Celebration.

6. Plans

The Service may offer the following Plans:

Free

£0

Essential

£39 one-time

Signature

£89 one-time

Keepsake

£149 one-time

Current features and limits are described on the pricing page.

Paid Plans are purchased per Celebration.

They are not subscriptions unless we expressly introduce and identify a subscription product in the future.

We may improve, replace or modify features over time where reasonably necessary for technical, security, legal or product reasons.

We will not deliberately remove the fundamental benefit of a paid Plan already purchased without a reasonable basis and, where required by law, an appropriate remedy.

7. Plan upgrades

Hosts may upgrade a Celebration to a higher Plan.

Where our current pricing model applies, the amount charged for an upgrade is the difference between the price already attributed to the current paid Plan and the price of the higher Plan.

For example:

  • Essential → Signature: £50
  • Signature → Keepsake: £60
  • Essential → Keepsake: £110

Prices and upgrade calculations displayed by the Service at Checkout are authoritative, subject to correction of obvious errors.

Downgrades are not currently offered through the self-service product.

8. Payments

Payments for paid Plans are processed by Stripe or another payment processor we may lawfully appoint.

Moments&Co. does not store full payment-card numbers or CVC information.

Payment must be successfully authorised before paid entitlement is activated.

A redirect to a payment-success page does not itself prove payment.

We may independently verify payment status with our payment provider before enabling paid features.

We may refuse or delay fulfilment where:

  • payment has not completed;
  • fraud or misuse is suspected;
  • the payment information is inconsistent;
  • the transaction is under review;
  • a technical discrepancy exists; or
  • applicable law requires us to do so.

9. Prices

Prices displayed on the Service are the prices payable by the customer unless clearly stated otherwise.

Moments&Co. is currently not VAT registered.

We will update our tax and pricing information if our registration status changes.

We may change prices for future purchases at any time.

Price changes do not retrospectively increase the amount already paid for an existing purchase.

10. Consumer cancellation rights

Nothing in these Terms limits rights that UK consumers are entitled to by law.

Certain online contracts may provide consumers with cancellation rights.

Where applicable, information about those rights will be provided before purchase and in a durable confirmation after purchase.

Where you expressly request immediate performance of a digital service during a statutory cancellation period, we may ask you to consent to performance beginning immediately.

Where the law provides that a cancellation right may be reduced or lost once digital content begins to be supplied, we will obtain the legally required consent and acknowledgement before relying on that rule.

Where a service has begun at your express request and the law permits it, you may be required to pay for the proportion of the service already supplied if you subsequently cancel.

UK distance-selling rules require businesses to provide customers with specified pre-contract information, cancellation information and a durable copy of the contract. Digital-content cancellation rights can also depend on express consent and acknowledgement before immediate supply begins.

11. Refunds

Paid Moments&Co. Plans provide immediate access to digital functionality for a particular Celebration.

If you wish to request a refund, contact:

support@momentsandco.events

Refund requests are handled manually.

Unless you have a statutory right to a refund:

  • refunds are not guaranteed simply because you change your mind after paid features have been activated or used;
  • we may consider exceptional circumstances at our discretion; and
  • partial use of a Plan may be taken into account when considering a discretionary refund.

Nothing in this section affects your statutory rights where the Service is faulty, materially not as described, or you otherwise have a legal entitlement to a remedy.

An approved refund:

  • will normally be returned through the original payment method;
  • does not automatically delete your Celebration or Content; and
  • does not automatically determine the future treatment of Plan-specific Content or retention.

We may separately notify you of any resulting entitlement changes.

12. Storage and retention

Plan storage and retention limits are currently intended to include:

Essential

2 GB / 2 years

Signature

20 GB / 2 years

Keepsake

50 GB / 5 years

Applicable limits may also be displayed within the product.

Where a paid Celebration is upgraded, the applicable retention period will, subject to the final product policy displayed at purchase, begin again from the date the higher paid Plan is activated.

We may impose reasonable technical and fair-use limits necessary to protect the Service.

13. Expiry and deletion

Content is not guaranteed to remain stored indefinitely.

Hosts are responsible for downloading and retaining copies of Content they wish to preserve permanently.

Before scheduled expiry, we may provide warnings such as:

  • 90 days;
  • 30 days;
  • 7 days;

before the relevant expiry date, where that notification functionality applies.

We may provide a grace period following expiry.

After the applicable retention period and any grace period end, Content may be permanently deleted.

Once permanently deleted, Content may not be recoverable.

Moments&Co. should not be treated as the sole permanent backup location for irreplaceable photographs, videos, recordings or files.

14. Host responsibility for Guests

Hosts decide who they invite to their Celebration and who receives access to the private Celebration link or QR code.

Although Celebration pages are intended to be private/unlisted, anyone who obtains a valid Celebration link may potentially access the guest-facing Celebration unless another access control applies.

Hosts are therefore responsible for distributing links appropriately.

Moments&Co. cannot guarantee that a Guest will not:

  • forward a Celebration link;
  • take screenshots;
  • save Content they can legitimately view;
  • share information outside the Service; or
  • otherwise use material after accessing it.

15. Guest access

Guests generally do not need a Moments&Co. Account.

Guests must use Celebration pages lawfully and respectfully.

A Guest must not:

  • submit unlawful Content;
  • impersonate another person;
  • upload malware;
  • abuse upload functionality;
  • attempt to access private Host functionality;
  • bypass restrictions;
  • scrape Celebration Content;
  • interfere with the Service; or
  • use a Celebration link for harassment, fraud or malicious activity.

We may block or restrict Guest access where reasonably necessary for security, abuse prevention or legal compliance.

16. RSVP information

Where RSVP functionality is enabled, Guests may submit information including:

  • attendance status;
  • name;
  • dietary requirements;
  • accessibility information;
  • and other information requested by the Host.

Hosts determine what RSVP information they request within the functionality we provide.

Hosts must use Guest RSVP information responsibly and lawfully.

Hosts must not use RSVP information for unrelated marketing, profiling or unlawful purposes.

17. Guestbook and Audio Guestbook

Written Guestbook messages may be subject to Host moderation.

A submission may initially remain private or Pending.

Hosts may be able to approve, hide, favourite, trash or restore Guestbook Content.

Written Guestbook Content is not guaranteed to be displayed publicly to Guests.

Audio Guestbook recordings are intended to remain Host-private after submission unless the product expressly states otherwise.

Guests should assume that audio recordings they submit will be accessible to the Host.

Moments&Co. may technically process, normalize, scan or convert audio as necessary to provide the Service.

18. Photos, videos and other uploads

Hosts and Guests must only upload Content that they are legally entitled to upload.

You must not upload Content that:

  • infringes copyright or other intellectual-property rights;
  • violates privacy rights;
  • was obtained unlawfully;
  • is defamatory;
  • is threatening or harassing;
  • contains malware;
  • contains unlawful sexual content;
  • exploits children;
  • promotes terrorism or unlawful extremist activity;
  • facilitates criminal activity; or
  • otherwise violates applicable law.

We may scan, inspect, reject, quarantine, process, hide or delete Content where reasonably necessary to:

  • protect the Service;
  • detect malware;
  • enforce these Terms;
  • comply with law; or
  • respond to valid rights complaints.

19. Rights in your Content

You retain ownership of Content that you own.

You do not transfer ownership of your Content to Moments&Co.

However, by submitting Content, you grant Moments&Co. a worldwide, non-exclusive, royalty-free licence to:

  • host;
  • store;
  • copy;
  • reproduce technically;
  • encode;
  • transcode;
  • resize;
  • generate derivatives necessary for playback/display;
  • transmit;
  • display to authorised users;
  • back up;
  • scan; and
  • otherwise process

that Content only to the extent reasonably necessary to provide, secure, maintain and improve the Service, comply with law, and enforce these Terms.

This licence lasts for as long as reasonably necessary to provide the Service or comply with legal obligations.

It does not give Moments&Co. ownership of customer photographs, videos, audio or messages.

20. Permissions relating to other people

If Content includes another identifiable person, you are responsible for ensuring that you have an appropriate lawful basis, permission or other right to submit and use that Content where required.

This includes photographs, video and audio involving other individuals.

Hosts should consider the privacy expectations of their Guests when choosing what Content to display.

21. Intellectual property belonging to Moments&Co.

The Service and all associated proprietary material are owned by or licensed to Moments&Co., including:

  • software;
  • source code;
  • platform design;
  • brand assets;
  • logos;
  • illustrations;
  • built-in icon sets;
  • templates;
  • interface designs;
  • copy;
  • graphics;
  • animations;
  • design systems; and
  • other proprietary materials.

Except as expressly permitted, you may not:

  • copy;
  • reproduce;
  • reverse engineer;
  • modify;
  • distribute;
  • resell;
  • sublicense;
  • scrape;
  • commercially exploit; or
  • create competing derivative services from

the Moments&Co. platform or proprietary materials.

Nothing in these Terms transfers our intellectual-property rights to you.

22. Invitation Studio and exports

Invitation Studio materials generated using the Service may be used by the Host in connection with their Celebration.

Built-in Moments&Co. templates, design systems, illustrations and software remain our intellectual property or that of our licensors.

A customer receives a licence to use generated outputs for their Celebration; they do not acquire ownership of the underlying Moments&Co. template system or software.

23. Public demo and marketing experience

Moments&Co. may provide public demonstration Celebrations or preview experiences.

Demo Content is illustrative.

Demo functionality may be read-only.

Users must not attempt to bypass demo restrictions or use demo interfaces to submit real RSVP, media, Guestbook or other records.

A demo does not constitute a promise that every visual element, sample Content or future feature shown will be available in every Plan.

Current Plan descriptions govern the purchased Service.

24. Gift Pot

Gift Pot may be displayed as Coming soon.

Unless and until we explicitly launch the feature:

  • Gift Pot is not part of the current Service;
  • no entitlement to Gift Pot arises from purchasing a Plan;
  • no funds are being collected through Gift Pot;
  • we do not promise a launch date; and
  • references to the feature are informational only.

If Gift Pot launches, separate or updated terms may apply.

25. Prohibited uses

You must not use Moments&Co.:

  • unlawfully;
  • fraudulently;
  • to harass or threaten;
  • for public fundraising where not expressly supported;
  • for unlawful financial activity;
  • to distribute malware;
  • to conduct phishing;
  • to evade access controls;
  • to test vulnerabilities without permission;
  • to overload infrastructure;
  • to automate abusive traffic;
  • to scrape private Celebration pages;
  • to create misleading or fraudulent Celebrations;
  • to host prohibited Content;
  • to violate another person's intellectual-property or privacy rights.

We may investigate suspected misuse.

26. Suspension and restriction

We may suspend, restrict or remove access where we reasonably believe this is necessary because:

  • these Terms have been breached;
  • payment is fraudulent or reversed;
  • security is compromised;
  • unlawful activity is suspected;
  • Content creates legal or security risk;
  • continued operation would harm the Service or other users;
  • a regulator, court or lawful authority requires action; or
  • emergency maintenance is necessary.

Where appropriate and lawful, we will attempt to notify the affected Host.

For serious abuse, fraud, illegality or security risk, action may be taken without prior notice.

27. Termination by you

You may stop using the Service at any time.

Account deletion and Celebration deletion may be made available through the Service or through support.

Deleting an Account or Celebration may permanently remove Content after applicable retention, backup and legal requirements.

Some records may be retained where reasonably necessary for:

  • legal compliance;
  • fraud prevention;
  • security;
  • dispute resolution;
  • financial/accounting requirements;
  • enforcement of these Terms.

28. Termination by us

We may terminate an Account where:

  • there is a serious or repeated breach of these Terms;
  • continued use creates significant legal or security risk;
  • fraudulent conduct occurs;
  • required payment is reversed or fraudulent;
  • we are legally required to terminate access.

Where termination is unrelated to user wrongdoing and materially removes a paid service that should otherwise remain available, we will provide any remedy required by law.

29. Service availability

We aim to provide a reliable Service but do not promise uninterrupted or error-free operation.

The Service may occasionally be unavailable due to:

  • maintenance;
  • deployments;
  • infrastructure failure;
  • third-party outages;
  • internet disruption;
  • security incidents;
  • emergency work;
  • events beyond our reasonable control.

We may change infrastructure, hosting providers or technical components where reasonably necessary.

30. Third-party services

Moments&Co. relies on third-party providers which may include services for:

  • payments;
  • hosting;
  • databases;
  • storage;
  • email;
  • security;
  • content processing;
  • analytics; and
  • infrastructure.

Third-party outages may affect Moments&Co.

We are not responsible for third-party services outside our reasonable control, but this does not remove any responsibility we have to you under applicable law.

31. No guarantee of permanent archival preservation

Keepsake Archive and other download/archive functionality is designed to help Hosts preserve Celebration material.

It is not a guarantee of permanent digital preservation.

Technology, file formats and third-party infrastructure can change over time.

Hosts remain responsible for maintaining independent copies of material they consider important or irreplaceable.

32. Backups

We may maintain technical backups for disaster recovery.

Backups are not a customer-facing archival guarantee and may:

  • be incomplete;
  • have limited retention;
  • contain older versions;
  • be inaccessible for individual-file restoration.

The existence of a technical backup does not extend a customer's contractual Content-retention period.

33. Security

We use technical and organisational measures intended to protect the Service and customer data.

No online service can guarantee absolute security.

You acknowledge that use of an internet-based service involves inherent risks.

You must take reasonable precautions including:

  • protecting login credentials;
  • using trusted devices;
  • not publicly distributing private Celebration links unnecessarily;
  • maintaining your own copies of important Content.

34. Privacy

Our handling of personal information is described in our Privacy Policy.

The Privacy Policy forms part of the information governing use of the Service but should remain a separate document from these Terms.

Hosts may themselves have legal responsibilities when collecting or using their Guests' personal information.

Whether Moments&Co. acts as controller or processor for particular data depends on the relevant processing activity, not simply on the wording used in a contract; ICO guidance focuses on who determines the purposes and means of processing.

Where legally required, separate data-processing terms may apply.

35. Hosts acting as businesses

If you use Moments&Co. wholly or mainly for business purposes, including certain corporate Celebrations, additional business terms may apply.

Where you are a business customer rather than a consumer:

  • consumer statutory protections may not apply;
  • you warrant you have authority to enter into the contract;
  • you are responsible for compliance with laws applicable to your organisation and Content.

36. Our responsibility to consumers

If you are a consumer, we provide the Service with the rights required by UK consumer law.

Digital content and services must meet applicable statutory standards, including requirements relating to description, quality and reasonable care and skill.

Nothing in these Terms excludes rights that cannot lawfully be excluded.

37. Limitation of liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation; or
  • statutory consumer rights that cannot lawfully be excluded.

Subject to that:

Moments&Co. is not responsible for losses that:

  • were not reasonably foreseeable when the contract was entered into;
  • arise because you supplied incorrect information;
  • arise from unauthorised sharing of a Celebration link by you or a Guest;
  • arise from Content uploaded by Hosts or Guests;
  • arise from circumstances outside our reasonable control;
  • result from your failure to keep independent copies of irreplaceable Content; or
  • relate to business losses where you use the Service as a consumer.

If you are a consumer, our liability remains subject to rights and remedies that applicable consumer law requires.

If you are using the Service for business purposes, then to the fullest extent permitted by law:

  • we are not liable for loss of profit, revenue, business, goodwill or anticipated savings; and
  • our aggregate contractual liability arising from the relevant Celebration will not exceed the greater of:
    • the total amount paid to Moments&Co. for that Celebration during the preceding 12 months; or
    • £100,

except where liability cannot lawfully be limited.

38. User responsibility and indemnity for business users

If you are using Moments&Co. for business purposes, you agree to compensate us for reasonable losses, liabilities and costs arising directly from:

  • unlawful Content you submit;
  • your infringement of another person's intellectual-property rights;
  • your unlawful use of Guest personal data;
  • fraud or deliberate misuse of the Service; or
  • a material breach of these Terms,

to the extent permitted by law.

This clause is intended for business users and is not intended to remove statutory consumer protections.

39. Disputes about Content

If you believe Content on Moments&Co. infringes your intellectual-property, privacy or other legal rights, contact:

support@momentsandco.events

Provide sufficient information for us to investigate the complaint.

We may temporarily restrict Content while investigating a credible legal complaint.

40. Changes to the Service

We may update the Service to:

  • add or improve features;
  • maintain compatibility;
  • improve security;
  • address abuse;
  • comply with law;
  • replace third-party providers;
  • improve reliability.

We will not use this right arbitrarily to deprive customers of the core benefit of an already-purchased paid Plan.

Material changes affecting paid users will be handled reasonably and in accordance with applicable law.

41. Changes to these Terms

We may update these Terms from time to time.

The version and effective date will be published on the website.

If a change is materially disadvantageous to an existing user's ongoing paid Service, we will provide reasonable notice where required or appropriate.

Changes required urgently for law or security may take effect more quickly.

Continued use after an updated version takes effect may constitute acceptance where legally appropriate.

42. Transfer of the business

Moments&Co. may in future be incorporated, reorganised, sold or transferred.

To the extent permitted by law, the rights and obligations relating to the Service may be transferred to a successor operator, provided this does not unlawfully reduce your contractual rights.

43. No waiver

If we delay enforcing a provision of these Terms, that does not mean we waive our right to enforce it later.

44. Severability

If any part of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent legally possible.

45. Entire agreement

These Terms, together with any applicable:

  • Plan description;
  • Checkout terms;
  • Privacy Policy;
  • Refund Policy; and
  • other terms expressly incorporated into the contract,

form the agreement between you and Moments&Co. concerning the Service.

This does not exclude statements or rights which cannot legally be excluded.

46. Third-party rights

Unless expressly stated otherwise, a person who is not a party to the contract does not have a right under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

This does not affect rights which exist independently of that Act.

47. Governing law

These Terms are governed by the laws of England and Wales.

If you are a consumer, this does not deprive you of mandatory protections available under the laws applicable to you.

Consumers may be entitled to bring proceedings in the courts applicable to their place of residence.

If you are a business customer, the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.
